Terms of Use

Please read these terms carefully before utilizing Billswave's platform, APIs, or infrastructure.

Last Updated: September 10, 2026

1. Acceptance of Terms

Welcome to Billswave. These Terms of Use ("Terms", "Agreement") constitute a legally binding agreement between you (whether individually or on behalf of an entity) and Billswave Projects Ltd. ("Billswave", "we", "us", or "our") concerning your access to and use of the Billswave website, payment APIs, virtual account infrastructure, digital storefronts, and any related applications or services (collectively, the "Services").

By registering for an account, accessing the API, or utilizing any of our Services, you agree that you have read, understood, and are bound by these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Services and must discontinue use immediately.

2. Description of Services

Billswave is a financial technology company, not a bank. We provide a software platform that enables merchants and businesses in Africa to accept payments, create digital storefronts, and generate virtual bank accounts for their customers. The settlement of funds and the provisioning of virtual accounts are handled by our licensed financial institution partners.

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, including the availability of specific features, API endpoints, or database functions, without prior notice or liability. We will, however, make reasonable efforts to notify you of significant changes.

3. Eligibility and Account Registration

To use Billswave, you must be at least 18 years of age and capable of forming a binding contract under applicable law. When creating an account, you agree to provide accurate, current, and complete information.

KYC and AML Compliance: To maintain the integrity of our financial ecosystem, you must comply with our Know Your Customer (KYC) and Anti-Money Laundering (AML) procedures. You agree to provide valid identification, business registration documents (where applicable), proof of address, and any other documentation we or our banking partners may request. Failure to provide this information may result in the suspension or termination of your account, and the freezing of any pending settlements.

You are solely responsible for maintaining the confidentiality of your account credentials, API keys, and secret tokens. You agree to notify us immediately of any unauthorized use of your account or security breach.

4. User Obligations and Prohibited Activities

You agree to use the Services solely for lawful business purposes. You shall not use Billswave to process payments for any illegal, fraudulent, or prohibited activities. By using our Services, you explicitly agree not to engage in or facilitate any of the following:

  • Illegal Activities: Any violation of local, national, or international laws, including money laundering, terrorist financing, or the sale of illicit drugs and controlled substances.
  • Prohibited Goods and Services: Selling weapons, ammunition, counterfeit goods, adult content, unlicensed gambling/betting services, or any products that infringe on the intellectual property rights of third parties.
  • Platform Abuse: Attempting to reverse-engineer, decompile, hack, or disrupt our software, APIs, or servers. This includes deploying malware, conducting denial-of-service (DoS) attacks, or attempting to bypass our security protocols.
  • Deceptive Practices: Engaging in phishing, identity theft, pyramid schemes, or providing misleading information to your customers regarding the goods or services you are offering.

Billswave retains the sole right to determine whether a business model or transaction violates these terms and may suspend or terminate accounts found to be in breach without prior notice.

5. Fees, Settlements, and Taxes

Fees: We charge fees for processing transactions and providing our Services. Our current fee schedule is available on our Pricing page and may be updated from time to time. By using the Services, you agree to pay all applicable fees, which will be automatically deducted from your transaction proceeds before settlement.

Settlements: We will transfer funds to your designated bank account according to our standard settlement schedule (e.g., T+1, meaning the day after the transaction), provided your account is fully verified and not under investigation for fraud. We reserve the right to delay or withhold settlements if we detect suspicious activity, excessive chargebacks, or a violation of these Terms.

Taxes: You are strictly responsible for determining any and all taxes assessed, incurred, or required to be collected, paid, or withheld for any reason related to your use of our software and services. Billswave is not responsible for collecting, reporting, or remitting any taxes arising from your transactions.

6. Chargebacks, Refunds, and Reversals

You are fully liable for all chargebacks, refunds, and reversals generated by your customers, including any associated fees or penalties levied by card networks or financial institutions. If a chargeback occurs, Billswave will deduct the contested amount and any applicable chargeback fees from your available balance or future settlements.

If your account balance is insufficient to cover a chargeback or refund, you agree to remit the outstanding funds to Billswave immediately upon request. We reserve the right to establish a rolling reserve on your account—holding a percentage of your daily processing volume—if we deem your business to carry a high risk of chargebacks or financial exposure.

7. Data Privacy and Security

Your privacy and the security of your data are paramount. Our collection and use of personal data in connection with the Services are described in our Privacy Policy. By agreeing to these Terms, you also agree to the terms of our Privacy Policy.

As a merchant, you are responsible for securing the data of your own customers. If you process cardholder data directly, you must comply with the Payment Card Industry Data Security Standard (PCI-DSS). You agree never to store sensitive authentication data, such as CVV codes or PINs, under any circumstances.

8. Intellectual Property Rights

All source code, databases, API documentation, software, website designs, audio, video, text, photographs, and graphics on the Platform (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by Billswave and are protected by copyright and trademark laws.

We grant you a limited, non-exclusive, non-transferable, and revocable license to access our APIs and integrate our checkout infrastructure strictly for the purpose of utilizing our Services in accordance with these Terms. You may not copy, reproduce, aggregate, republish, or commercially exploit any part of our Platform without our express written permission.

9. Disclaimer of Warranties

The Services are provided on an "as-is" and "as-available" basis. Billswave explicitly disclaims all warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

While we strive for 99.9% uptime, we do not guarantee that the Services will be uninterrupted, timely, secure, or error-free. We are not responsible for any downtime caused by third-party banking partners, telecom network failures, or circumstances beyond our reasonable control (Force Majeure).

10. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Billswave, its directors, employees, or agents be liable to you or any third party for any indirect, consequential, exemplary, incidental, special, or punitive damages. This includes lost profit, lost revenue, loss of data, or other damages arising from your use of the Services, even if we have been advised of the possibility of such damages.

In no event will our total liability to you for any claims arising out of or relating to these Terms or your use of the Services exceed the total amount of fees you paid to Billswave in the three (3) months preceding the event giving rise to the claim.

11. Indemnification

You agree to defend, indemnify, and hold Billswave and its affiliates, officers, directors, and employees harmless from any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms or any applicable law or regulation;
  • Your use of the Services in a manner not authorized by this Agreement;
  • Any claim initiated by your customers regarding your products, services, or fulfillment;
  • Your violation of any third-party rights, including intellectual property or privacy rights.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be settled by binding arbitration in Uyo, Akwa Ibom State, Nigeria, in accordance with the Arbitration and Mediation Act. The language to be used in the arbitral proceedings shall be English. Notwithstanding the foregoing, Billswave reserves the right to seek injunctive relief in any court of competent jurisdiction to prevent intellectual property infringement or data breaches.

13. Modifications to the Terms

Billswave reserves the right, at our sole discretion, to change or modify portions of these Terms at any time. When we do, we will post the revised Terms on this page and update the "Last Updated" date at the top of this document. For significant changes, we will notify you via the email address associated with your account or through a notification on your merchant dashboard.
